1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Nexxus Ai Labs Technologies Private Limited ("Nexxus Ai Labs," "we," "us," or "our") governing your access to and use of the NEXXUS platform and related services.

By accessing or using NEXXUS, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

NEXXUS is an AI trustworthiness evaluation platform that provides:

• Comprehensive AI system evaluations based on the Global AI Trustworthiness Framework (GAiTSF)
• Trust scores across multiple parameters including safety, fairness, transparency, and compliance
• Detailed reports and actionable recommendations
• Documentation generation and export capabilities
• Continuous monitoring and re-evaluation features

3. Account Registration

3.1 Account Creation

To access NEXXUS, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using NEXXUS on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3.3 Account Security

You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Acceptable Use

You agree not to:

• Use NEXXUS for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the platform
• Upload malicious code, viruses, or harmful content
• Reverse engineer, decompile, or disassemble any part of the service
• Use automated systems to access the service without our permission
• Misrepresent your identity or affiliation
• Share your account credentials with third parties
• Use evaluation results to make false or misleading claims

5. Intellectual Property

5.1 Our Intellectual Property

NEXXUS, including its software, design, content, logos, and trademarks, is owned by Nexxus Ai Labs and protected by intellectual property laws. These Terms do not grant you any rights to use our intellectual property except as expressly permitted.

5.2 Your Content

You retain ownership of the content and data you submit to NEXXUS. By submitting content, you grant us a limited license to use, process, and store it for the purpose of providing our services.

5.3 Feedback

Any feedback, suggestions, or ideas you provide regarding NEXXUS may be used by us without any obligation to you.

6. Evaluation Reports and Trust Scores

6.1 Nature of Evaluations

NEXXUS evaluations are based on the information you provide and our assessment framework. Trust scores and reports are intended as guidance tools and should not be considered as certifications, guarantees, or legal compliance determinations.

6.2 Limitations

While we strive for accuracy, evaluation results depend on the completeness and accuracy of the information provided. You are responsible for verifying results and making your own compliance and risk management decisions.

6.3 Use of Results

You may use NEXXUS reports for internal purposes and with third parties, provided you do not misrepresent the nature or scope of the evaluation. Any public claims based on NEXXUS results must accurately represent our methodology and limitations.

7. Payment and Subscription

7.1 Fees

Certain features of NEXXUS require payment. Fees are specified at the time of purchase and are subject to change with notice. All fees are non-refundable unless otherwise stated.

7.2 Billing

By providing payment information, you authorize us to charge the applicable fees to your payment method. You are responsible for keeping your payment information current.

7.3 Subscription Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You can cancel your subscription through your account settings.

8. Confidentiality

We treat your AI system information and evaluation data as confidential. We will not disclose your confidential information to third parties except as necessary to provide our services, as required by law, or with your consent. Our confidentiality obligations are detailed in our Privacy Policy.

9. Disclaimers

TRUSTSCAN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
• ACCURACY, COMPLETENESS, OR RELIABILITY OF EVALUATION RESULTS
• UNINTERRUPTED OR ERROR-FREE OPERATION
• COMPATIBILITY WITH YOUR SYSTEMS OR REQUIREMENTS

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFERLOOP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
• BUSINESS INTERRUPTION
• RELIANCE ON EVALUATION RESULTS
• REGULATORY PENALTIES OR COMPLIANCE FAILURES

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nexxus Ai Labs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of NEXXUS, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to NEXXUS at any time for any reason, including violation of these Terms. Upon termination:

• Your right to use the service immediately ceases
• You remain responsible for any outstanding fees
• You may request export of your data within 30 days
• Provisions that should survive termination will remain in effect

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of NEXXUS after changes become effective constitutes acceptance of the modified Terms.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of NEXXUS shall be resolved through:

• Good faith negotiation between the parties
• Mediation, if negotiation fails
• Binding arbitration in Bangalore, Karnataka, India

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Nexxus Ai Labs regarding NEXXUS.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
